Terms of Service

1. Agreement and scope
These Terms of Service are a binding agreement between you and Daniel Vidoni, operating as Vidoni in Australia. They govern your use of the Vidoni website, Vidoni account, shared prepaid wallet, and any Vidoni app that links to these Terms.
By creating an account or using a covered service, you agree to these Terms and our Privacy Policy. If you do not agree, do not create an account or use the service. Separate products, including StoreFinder, may have their own terms.
2. The services
Vidoni provides a suite of online apps. Features, supported languages, usage rates, and availability may differ between apps and may change as the suite develops. App-specific instructions or additional terms may apply to a particular feature and form part of these Terms when shown to you.
Creating a Vidoni account is free. Unless we clearly say otherwise, the services use prepaid credit rather than a recurring subscription.
3. Eligibility and your account
- You must be at least 18 years old and legally able to enter a binding agreement.
- You must provide information that is accurate, complete, and kept up to date.
- You may not impersonate another person, use information you do not have the right to use, or transfer your account without our written permission.
- You must keep your sign-in details private and are responsible for activity carried out through your account, except to the extent the law says otherwise.
- If you use Vidoni for an organisation, you confirm that you have authority to do so and to agree to these Terms on its behalf.
If you believe someone has used your account without permission, contact us promptly through the contact form.
4. Acceptable use
You must use Vidoni lawfully and only for its intended purposes. You must not:
- use the service to break the law, infringe another person's rights, or breach a duty of confidentiality or privacy;
- submit or transmit content that is fraudulent, deceptive, harmful, threatening, harassing, defamatory, hateful, or unlawfully discriminatory;
- attempt to access another person's account, obtain their credentials, or interfere with another person's use of the service;
- circumvent charges, access restrictions, credit expiry, free-trial or promotional limits, or other service rules;
- use automated means to scrape, copy, overload, probe, or interfere with the service, or attempt to reverse engineer it;
- resell, sublicense, lease, or redistribute the service without our written permission; or
- use the service in a situation where an error, delay, or inaccurate output could reasonably cause death, serious injury, or serious property or environmental damage.
5. Speech, content, and third-party processing
Some Vidoni apps process speech, text, or other material that you choose to submit. You are responsible for having the rights and permissions needed to submit that material, including any consent required before sending another person's speech or personal information.
You retain any ownership rights you have in material you submit. You grant Vidoni and the providers it uses a limited, non-exclusive right to receive, transmit, process, reproduce, and adapt that material only as reasonably necessary to provide, secure, support, bill, and maintain the relevant service, or as described in the Privacy Policy. This does not transfer ownership to Vidoni.
Features may connect with third-party services, including AI, payment, sign-in, hosting, or other providers. Those services may have their own terms, privacy policies, availability limits, and responsibilities. You are responsible for reviewing any third-party terms that apply to a feature you choose to use.
We may provide links to third-party websites or services for convenience. A link does not mean that Vidoni endorses, approves, or guarantees the third party, its website, its content, or its services. We are not responsible for third-party websites or services that you choose to use.
6. Automated and AI-generated output
Some Vidoni apps use frontier artificial-intelligence technology supplied in whole or in part by third-party providers to produce automated output, including translations. The technology may mishear speech, omit or change meaning, produce inaccurate or unsuitable output, or become delayed or unavailable. Vidoni works to improve the quality of the services as the technology develops, but we do not guarantee any particular level of accuracy, completeness, availability, or result.
You are solely responsible for how you use the services, the decisions and actions you take or do not take based on them, and the consequences of that use. To the maximum extent permitted by law, Vidoni is not responsible for inaccurate translations, other output, or consequences arising from your use of or reliance on them. Do not rely on Vidoni output as a substitute for a qualified interpreter or professional advice in medical, legal, financial, emergency, safety-critical, or other high-risk situations.
7. Prepaid credit and payments
Some Vidoni apps use a shared prepaid balance. You may purchase top-ups in the amounts and currency shown at checkout. Usage is deducted from that balance according to the applicable app's displayed or published rates. The balance is shared across covered Vidoni apps, but it is not a bank account, deposit, or promise of a particular amount of usage.
Payments are processed by Stripe. Stripe may provide its own receipt and payment terms. Vidoni does not store your complete payment card number. We may retain payment and transaction references as described in the Privacy Policy.
If you enable auto top-up, you authorise the selected top-up amount to be charged to the saved payment method when the balance reaches the applicable low-balance condition. You can turn auto top-up off from your account. A failed payment may disable auto top-up and prevent further automatic charges until you take action.
Unused prepaid credit expires after 12 months without billable use. We may send a reminder before expiry where reasonably practicable. You are responsible for using credit before it expires.
8. Refunds and consumer rights
Unused prepaid credit is generally non-refundable, except where a refund is required by law or where we agree otherwise. This does not apply if Vidoni permanently discontinues the shared prepaid-credit program itself, rather than a single app within the suite — in that case, any credit balance you can no longer use elsewhere in the suite will be refunded to you. If you believe a payment or balance change is incorrect, contact us through the contact form within 30 days so we can investigate.
Nothing in these Terms excludes, restricts, or modifies any right, guarantee, remedy, or liability that cannot lawfully be excluded, restricted, or modified, including rights under the Australian Consumer Law.
9. Availability and changes to the services
We aim to provide reliable services, but we do not promise that every service or feature will always be available, uninterrupted, secure, error-free, or suitable for every device or location. Services may be affected by maintenance, internet access, or third-party services.
We may add, change, limit, suspend, or discontinue a service or feature. Where reasonably practicable, we will provide notice of a material change that adversely affects a service you are using.
10. Ownership and licence
Vidoni owns or licenses the software, design, branding, text, and other material that makes up the services. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable licence to use the services for their intended purpose.
The Vidoni name, logos, trade marks, and branding may not be copied, modified, displayed, or used in a way that suggests endorsement or affiliation without our prior written permission, except as permitted by law. Third-party names, logos, and trade marks remain the property of their respective owners.
You must not copy, modify, publish, distribute, sell, create derivative works from, or commercially exploit Vidoni material except as allowed by law or with our written permission. Any feedback or suggestions you send may be used by Vidoni without payment or a duty of confidentiality, unless we agree otherwise in writing.
11. Suspension and termination
You may stop using Vidoni at any time. We may suspend or terminate your access, or remove a feature, where we reasonably consider it necessary because of a breach of these Terms, unlawful or abusive use, fraud, protection of users or the service, a legal requirement, or the discontinuation of the relevant service. We will provide notice where reasonably practicable, but immediate action may be necessary in some circumstances.
Unless required by law or described in Section 8 (Refunds and consumer rights), stopping use or closing an account does not make unused prepaid credit refundable. Account closure and data retention are described in the Privacy Policy. Provisions that should logically continue after termination, including payment obligations, ownership, liability, and dispute provisions, continue to apply.
12. Disclaimers
To the maximum extent permitted by law, the services and any output are provided on an “as is” and “as available” basis. We do not warrant that the services will meet every requirement, produce accurate results, or operate without interruption or error. We are not responsible for the acts, omissions, content, or availability of third-party services that you choose to access, except where the law requires otherwise.
13. Limitation of liability
To the maximum extent permitted by law, Vidoni's total aggregate liability to you for all claims arising out of or relating to these Terms or the services, whether in contract, tort, negligence, statute, or otherwise, will not exceed the amount of unused prepaid credit standing to your Vidoni account at the time the event giving rise to the claim occurred. This amount may be zero and is the maximum aggregate amount, not a per-claim amount.
To the maximum extent permitted by law, Vidoni is also not liable for indirect, incidental, special, consequential, or punitive loss, or for loss of profits, business opportunity, goodwill, or data, arising from your use of the services. The cap in this section applies only to Vidoni's liability; it does not limit your payment, defence, indemnity, or other obligations under these Terms. Nothing in this section excludes, restricts, or modifies liability or a right or remedy that cannot lawfully be excluded, restricted, or modified, including rights under the Australian Consumer Law.
14. Defence, indemnity, and hold harmless
To the maximum extent permitted by law, you must defend, indemnify, and hold harmless Vidoni, Daniel Vidoni, and our officers, employees, contractors, agents, licensors, and service providers from and against any third-party claim, demand, proceeding, loss, liability, damage, cost, or reasonable legal fee arising out of or relating to:
- your use or misuse of the services;
- speech, text, personal information, or other material you submit;
- your breach of these Terms or violation of law or another person's rights;
- activity carried out through your account; or
- a decision or action you take based on output you receive from the services.
We may take control of the defence of a claim covered by this section, and you must reasonably cooperate with that defence. You must not settle a claim in a way that admits fault by, or imposes an obligation on, Vidoni without our written consent. This obligation does not apply to the extent a claim was caused by Vidoni's own negligence, unlawful conduct, or wilful misconduct; arises from an inaccuracy, delay, or other limitation of AI-generated or other automated output described in Section 6 rather than from your own decision, action, or breach of these Terms; or where applying it would be prohibited by law.
15. Changes to these Terms
We may update these Terms as the services or law changes. We will post the current version here and update the date above. Where a change is material, we will provide additional notice where reasonably practicable. If you do not agree with an updated version, stop using the affected services. Continuing to use them after the effective date means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia. Before starting formal proceedings, please contact us through the contact form and give us a reasonable opportunity to resolve the issue. This does not prevent you from using any non-excludable consumer right or remedy. Subject to those rights and to the maximum extent permitted by law, you and Vidoni submit to the exclusive jurisdiction of the courts of New South Wales, Australia, and courts entitled to hear appeals from them.
17. General
If a provision of these Terms is found invalid or unenforceable, the remaining provisions continue. You may not transfer your rights or obligations under these Terms without our written consent. We may assign or transfer these Terms as part of a restructure, sale, or transfer of the relevant service.
